These Terms of Service ("Terms") govern your use of vitaliitymko.com (the "Site") and any web design, development, or SEO services ("Services") provided by VT Studio ("we", "us", "our"). By using the Site or engaging our Services, you agree to these Terms.

1. Use of the Site

You may browse the Site for lawful, personal, or business purposes. You agree not to attempt to disrupt, reverse-engineer, scrape at scale, or gain unauthorized access to any part of the Site or its underlying systems.

2. Quotes and inquiries

Quotes provided through our forms, email, or phone are estimates based on the information you share. Pricing, scope, and timelines are finalized in a signed agreement or written scope of work before we begin any paid engagement.

3. Services and deliverables

• Project scope, deliverables, timelines, and payment terms are defined in the written proposal or scope of work for your project.
• Standard delivery windows: Landing Page 2–3 days, Business Website 3–5 days, Ecommerce 10–14 days, from project kickoff and receipt of all needed content.
• Revisions, additional pages, and out-of-scope work are handled as add-ons at agreed rates.

4. Payment

Unless otherwise agreed in writing, projects require a deposit before work begins, with the remaining balance due before final launch. Invoices are payable in USD. Late payments may pause active work.

5. Client responsibilities

• Provide accurate business information, brand assets, and content in a timely manner.
• Confirm that content, images, and materials you supply do not infringe third-party rights.
• Review and approve milestones within the timelines set in the proposal.

6. Intellectual property

• Upon full payment, you own the final website design and content deliverables produced specifically for your project.
• We retain rights to our underlying tools, code libraries, templates, and know-how used across projects.
• We may display the completed work in our portfolio and case studies unless you request otherwise in writing.
• Third-party assets (fonts, stock photos, plugins) are governed by their own licenses.

7. Third-party services

Some deliverables rely on third-party providers (hosting, analytics, forms, payments, domain registrars). We are not responsible for outages, price changes, or policy changes made by those providers.

8. Warranty and disclaimer

The Site and any advice, examples, or content on it are provided "as is" without warranties of any kind, express or implied. Services are delivered with reasonable professional skill and care as defined in the signed scope of work.

9. Limitation of liability

To the maximum extent permitted by law, VT Studio is not liable for indirect, incidental, or consequential damages, including lost profits or lost data. Our total liability for any claim relating to the Services is limited to the amount you paid us for the specific engagement giving rise to the claim.

10. Termination

Either party may terminate an active engagement in writing for material breach that is not cured within a reasonable period. Fees for work completed up to termination remain payable.

11. Governing law

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws principles. Any disputes will be resolved in the state or federal courts located in Sacramento County, California.

12. Changes to these Terms

We may update these Terms from time to time. Continued use of the Site after changes are posted means you accept the updated Terms.
